Product Warranty

This document sets out the terms and conditions of the product warranty for ‘V-Tex
Standalone’ products offered by Enviro-Cool International Limited, a company incorporated and registered in England and Wales with company number 09380118 whose registered office is at Lindeyer Francis Ferguson, 198 High Street, Tonbridge, Kent, TN9 1BE (“Company” or “us”) to you, the Purchaser (or “you”) (the “Product Warranty “).

This Product Warranty is an important document as it contains important information about your rights and obligations as well as limitations and exclusions that apply.

Please register your purchase of the Product online at www.v-tex.cool or on the V-Tex Global Support App, (this can be downloaded from the Google Play store or Apple App store) no later than 30 days from purchase and retain your proof of purchase documents in a safe place for future reference.

The Product Warranty applies in addition to and notwithstanding your other legal and statutory rights and remedies that exist in relation to the Products under any applicable laws.

GENERAL TERMS AND CONDITIONS:

  1. Defined Terms

    In this Product Warranty, the following definitions apply:
    1. ASP’ means an authorised Company service personnel;
    2. ‘First Year Maintenance’ means a servicing of the Product to be undertaken by an ASP at the cost of the Purchaser prior to the first anniversary of the date of purchasing the Product;
    3. ‘Authorised Sales Consultant’ means any of the Company’s authorised Sales Consultants or Sales Consultants;
    4. ‘Product’ means any V-Tex Standalone rapid drinks chiller product purchased new from the Company or an Authorised Sales Consultant of the Company;
    5. ‘Purchaser’ means the first end-user of the Product;
    6. ‘V-Tex’ means the brand controlled by Enviro-Cool UK Ltd; and
    7. ‘Warranty Period’ means a period of 24 months from the date of first purchase of the Product by the Purchaser.
  2. Warranty Coverage
    1. The Company warrants to you that the Product shall be free from defects in material and workmanship under normal use and service for the Warranty Period.
    2. Unless the Purchaser has registered the purchase of the Product online with the Company, the Purchaser must provide proof of purchase to the Company in order to make a claim under this Product Warranty.
    3. The Purchaser must provide written notice of any defect or failure by via www.v-tex.cool/support or the V-Tex Global Support App to the Authorised Sales Consultant/the Company within seven (7) days of discovering the defect in the Product during the Warranty Period and provide a detailed description of the identified defect or failure.
    4. Subject to the terms of this Product Warranty, the Company will at its sole discretion:
      1. repair, at no additional charge, defective parts or replace them with new parts or serviceable parts that are equivalent to new parts in performance. All replaced parts of Products become the property of the Company and must be returned to the Company / Authorised Sales Consultant in accordance with the Company / Authorised Sales Consultant’s instructions; or
      2. replace the Product if the Company deems in its reasonable opinion that a repair is not possible or economically viable; or
      3. if a component incorporated within the Product is no longer available, we may replace the component with a similar component of similar function at our sole discretion.
    5. The Company will have no warranty obligations with respect to a returned Product if the Company determines, in its reasonable discretion after examination of the returned Product, that the Product is an Excluded Product (as defined below).
    6. Where the Product is replaced pursuant to this Product Warranty, the replacement Product will be subject to the Product Warranty for the longer of sixty days (60) from the date of repair or delivery of the replacement Product or the remaining Warranty Period of the original purchased Product.
    7. This Product Warranty shall only be for the benefit of the Purchaser and is non-transferable or assignable to any subsequent owner of the Product and will automatically terminate at the time of transfer of any Product, where permitted by law.
  3. Warranty Exclusions

    The Product Warranty does not cover the following:
    1. normal wear and tear of Products;
    2. Products marked as “sample” or sold “AS IS” or provided as part of any product trial or product trial agreement;
    3. any damage caused to the Product by you as a result of your negligence or wilful default or your abuse or misuse of the Product;
    4. any modifications, alterations, tampering or improper maintenance or repair of the Product;
    5. damage to the Product which occurs in shipment, delivery and installation;
    6. applications and uses for which this Product was not intended;
    7. any damage to the Product caused by handling, storage, installation, testing or use which is not in accordance with any applicable user manuals, installation or other instructions provided in relation to the Product;
    8. altered Product or serial numbers, cosmetic damage or exterior finish;
    9. accidents, abuse, neglect, fire, water, lightning, or other acts of nature;
    10. use of products, equipment, systems, utilities, services, parts, supplies, accessories, applications, installations, repairs, external plumbing and leaks, external wiring, circuit breakers, fuses or connectors not supplied and authorised by the Company or an Authorised Sales Consultant, which damage the Product or result in service problems;
    11. incorrect electrical line voltage, fluctuations, breakdowns, interruptions and surges in electric power;
    12. the loss of data however caused, and the Purchaser shall be responsible for backing up and protecting data against loss, damage, or destruction; or
    13. deterioration or weathering to paintwork, metalwork, or trims of the product caused by normal weathering and or corrosive atmospheric conditions; (each an “Excluded Product”).
  4. Warranty Conditions
    1. The Product Warranty is valid only if the Product is installed, operated, and maintained in accordance with all user guides, manuals and instructions provided by the Company (as updated or amended from time to time).
    2. For the Product Warranty to continue to be valid after 12 months from the date of Purchase, the First Year Maintenance is required to have been undertaken by an ASP.
    3. This Product Warranty is void if the Product is modified or repaired by someone other than the Company or an ASP of the Company.
    4. The Product Warranty only covers the cost of travelling time of up to 100kms, or 1½ hours, whichever is the lesser, for an ASP.
    5. We recommend that you use only approved or recommended (by us) service providers for maintenance or repair. Unauthorised use, maintenance or repair of the Product may impair the Product’s performance and will automatically invalidate this Product Warranty.
  5. Obtaining Warranty Service
    1. If your Product is not functioning correctly, in the first instance please refer to the online help resources available via www.v-tex.cool/support or the V-Tex Global Support Appto support you in resolving the issue.  If following review of the online help resources, the Product is found to be still not functioning correctly, please contact either the Company or, if applicable, the Authorised Sales Consultant via  www.v-tex.cool/support or the V-Tex Global Support App
    2. Prior to receiving any service under this Product Warranty as described in paragraph 2 (above), the Company or Authorised Sales Consultant may require that you respond to questions and/or provide further information designed to assist with diagnosing potential issues and follow procedures to help determine whether your Product requires service and, if it does, the Company or Authorised Sales Consultant will inform you on next steps to repair or replace the Product.
    3. Where possible, the Product Warranty service will occur at the location of the Product.  However, this requires that the Product must be unobstructed and accessible from floor level to service personnel. You agree to provide access during normal business hours in order for service personnel to carry out service on the Product.
    4. If in-location service repair cannot be completed, it may be necessary to remove, repair and return the Product at a later date. In such circumstances only, the Company shall bear reasonable costs of return of the Product to the Company / Authorised Sales Consultant and will reimburse such reasonable costs incurred by you, except with respect to any Excluded Product, for which you will bear all costs of return.
    5. The Product Warranty service is restricted to the country where the Product is purchased. Service options, parts availability and response times will vary according to country. You may be responsible for shipping and handling charges if the Product cannot be serviced in the country it is in.
    6. In accordance with applicable law, the Company and/or Authorised Sales Consultant may require that you furnish proof of purchase details and/or comply with registration requirements before receiving the Product Warranty service.
  6. Limitation of Liability
    1. Except as stated above in this Product Warranty, and to the maximum extent permitted by applicable law, the Company hereby disclaims all express, implied, and statutory warranties and conditions with respect to any Product, including the implied warranties of merchantability, and fitness for a particular purpose. To the maximum extent permitted by applicable law, we also limit the duration of any implied warranties or conditions to the duration of this Product Warranty.
    2. In addition to the above warranty disclaimers, in no event will the Company be liable for any indirect, consequential, incidental, exemplary, or special damages, including any damages for lost data or lost profits, arising from or relating to this Product Warranty or your use of our Product.
    3. The liability of the Company under this Product Warranty is limited to the cost of repair or replacement of the Product and the Company’s total cumulative liability arising from or related to this Product Warranty or a Product will not exceed the amount actually paid for the Product by the original Purchaser.
  7. Governing Law and Dispute Resolution
    1. This Product Warranty and all non-contractual obligations arising in any way whatsoever out of or in connection with this Product Warranty are to be governed by, construed and take effect in accordance with the laws of England.
    2. The Company and you submit to the exclusive jurisdiction of the courts of England to resolve any dispute arising under this Product Warranty.
